Description

Germany is the largest European country in terms of population and economic output. Its mergers and acquisitions market is one of the strongest in Europe. This seminar will provide insights into German corporate law from the perspective of lawyers in Germany. Which legal forms are available in Germany? Where can basic information about a German entity be found? What are the fundamentals of an asset deal or share deal under German law? What are the particularities of Public M&A transactions in Germany? These–and a lot more–questions will be answered.

Dr. Holger Alfes, LL.M.

Holger Alfes, LL.M. is a partner at Noerr Partners, a top European law firm, with expertise in capital markets law, mergers and acquisitions and restructuring. Dr. Alfes’ practice is focused on capital market transactions (e.g., IPOs, secondary offerings and bond issues), corporate investments and divestitures, including share and asset purchase agreements and due diligence, with a focus on real estate transactions, and advice in restructuring situations. Dr. Alfes received a degree in Legal Studies and a doctorate degree from the University of Münster and a Postgraduate Master of Laws (LL.M.) from Case Western Reserve University, in Cleveland OH. He is admitted to the Frankfurt Chamber of Lawyers and the New York bar and has worked in both US and German law firms. A leading expert in capital markets law, Dr. Alfes has been recommended for IPOs, capital increases, M&A and corporate by JUVE Handbook (2018/2019), cited in the 2016 edition of Best Lawyers in Germany and ranked among the top 25 lawyers for stock corporation law in Germany by the 2010 edition of Wirtschaftswoche Magazine. Holger Alfes has been with Noerr since 1999.

Susanne Rummel is an associated partner at Noerr Partners, a top European law firm, in the field of capital markets law as well as mergers and acquisitions.
Susanne focuses on complex domestic and cross-border M&A transactions and capital markets transactions. She also provides advice to listed companies and their boards on stock corporation law and capital markets law, especially regarding corporate governance matters, capital markets compliance and liability matters.Susanne Rummel studied at the University of Bayreuth, Germany, and at the Universidad de Granada, Spain. She is admitted to the Munich Chamber of Lawyers. She worked as a visiting lawyer at Paul, Weiss, Rifkind, Wharton & Garrison LLP in New York. She has been with Noerr since 2014.
