The Yale Law School Center for the Study of Corporate Law is delighted to invite you to attend a Craig Wasserman ’86/Wachtell, Lipton, Rosen & Katz Alumni Breakfast in New York on “The Current Landscape in Delaware M&A” on Wednesday, May 15, 2019. The program will be held at The Century Association, 7 West 43rd Street (between 5th and 6th Avenues) from 8:00-9:20 a.m.

Recent Delaware judicial decisions have dramatically altered the landscape of mergers and acquisitions and fiduciary duty law, and their implications for business planning are potentially profound. Our distinguished panel of Delaware Chancery Court Vice Chancellor Travis Laster,  Friedlander & Gorris partner Joel Friedlander, YLS Professor Jonathan Macey '82, and Wachtell, Lipton, Rosen & Katz partner William Savitt will discuss the developing jurisprudence in this domain and what it may portend for the future, with a focus on: conditions determining which fiduciary standard applies to self-interested transactions along with the impact of shareholder ratification; the ramifications of limitations on disclosure claims brought to prevent acquisitions and the choice of litigation forum; when the judicially-appraised fair value of shares acquired in a merger is determined by deal price, pre-merger market price, or a discounted cash flow analysis; to what extent can or should courts consider enjoining merger transactions on substantive, as opposed to disclosure, grounds when there is no competing bid; and the extent to which directors can, should - or must – take into account non-stockholder-value interests? YLS Professor Roberta Romano '80 will moderate.
